These Terms form a binding agreement between you and IssueTraq. Please read them before creating an account or using the Service.
1. Acceptance of these Terms
These Terms of Use ("Terms") govern your access to and use of IssueTraq's website, mobile applications, APIs, and related services (together, the "Service"). By registering, accessing, or using the Service, you agree to these Terms and our Privacy Policy.
If you use the Service for a company, team, or other organisation, you represent that you have authority to accept these Terms on its behalf. In that case, "you" includes that organisation. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and legally capable of entering a binding agreement to use the Service. You may not use the Service if applicable law prohibits you from doing so or if we previously terminated your account for a serious violation and have not authorised your return.
3. The Service
IssueTraq helps users organise groups, track and assign issues, manage categories and deadlines, discuss work, exchange direct messages, share files, receive notifications, and use related collaboration features. Features may differ by platform, account role, release, or availability.
IssueTraq is a collaboration tool, not an emergency, medical, legal, financial, safety-critical, or guaranteed archival service. Do not rely on it where delay, interruption, or data loss could cause death, personal injury, or substantial physical or financial harm.
4. Accounts and security
- Provide accurate account information and keep it reasonably current.
- Protect your password, devices, session tokens, and any QR sign-in request. Do not approve a sign-in you did not initiate or recognise.
- Do not share an individual account or impersonate another person.
- Notify [email protected] promptly if you suspect unauthorised access.
- You are responsible for activity performed through your account unless it resulted from IssueTraq's breach of these Terms or applicable law.
You may sign in using Google. Your use of Google's service is also subject to Google's terms and policies.
5. Groups, roles, and administrators
A group owner controls the group and may appoint administrators. Owners and administrators can manage membership, roles, invitations, content, settings, and access within the permissions provided by the Service. Members must follow reasonable group rules and the decisions of authorised administrators, provided those decisions do not violate these Terms or applicable law.
If a group owner permanently deletes their account, the group may remain associated with an anonymised "Deleted User" record. An eligible active, visible group administrator may claim ownership through the Service. Account deletion may be blocked if an owned group has no other active administrator. You are responsible for establishing appropriate administration and succession for groups you rely on.
6. Your content
"User Content" means issues, comments, messages, files, profile information, group information, and other material you or your users submit to the Service. As between you and IssueTraq, you retain ownership of your User Content.
You grant IssueTraq a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display, format, back up, and otherwise process User Content only as reasonably necessary to:
- provide, secure, maintain, and improve the Service;
- follow your instructions and sharing choices;
- prevent or address technical, fraud, security, or support issues; and
- comply with law and enforce these Terms.
This licence lasts while the content is stored by the Service and for any limited backup, legal, or security retention period afterward.
You represent that you have the rights and permissions needed to submit User Content and allow us to process it under these Terms. You are responsible for the legality, accuracy, and appropriateness of your User Content and for obtaining any required notice or consent from people whose information it contains.
7. Sharing and confidentiality
The Service is designed for collaboration. Content may be accessible to group members, conversation participants, group administrators, or system administrators according to their roles and the feature used. Check recipients and group membership before posting sensitive material.
IssueTraq does not promise that User Content is confidential merely because it is stored in a private group. If your organisation requires contractual confidentiality, regulatory commitments, special retention, or data-residency terms, those requirements must be agreed with IssueTraq in writing.
8. Acceptable use
You must not, and must not help another person to:
- break any law, infringe intellectual-property or privacy rights, or process personal information without authority;
- harass, threaten, exploit, defame, discriminate against, or impersonate another person;
- upload malware, unlawful material, or content designed to compromise a device, account, or network;
- probe, scan, bypass, disable, or interfere with authentication, access controls, rate limits, security measures, or Service operation;
- access another person's account, private group, messages, or files without permission;
- send spam, unsolicited bulk invitations, deceptive messages, or abusive notifications;
- scrape, harvest, or systematically extract Service data except through an authorised API and in compliance with applicable limits;
- reverse engineer the Service except to the limited extent such restriction is prohibited by law;
- resell, sublicense, or commercially exploit the Service without written permission; or
- use the Service in a way that creates unreasonable load or harms other users.
We may investigate suspected misuse and preserve or disclose relevant information as permitted by our Privacy Policy and applicable law.
9. Files, integrations, and third-party services
You are responsible for files you upload and should maintain independent copies of important material. File types and sizes may be restricted for security and operational reasons.
The Service may rely on or link to third-party services, including Google authentication, Firebase Cloud Messaging, email delivery, hosting, storage, and content-delivery networks. We do not control third-party services and are not responsible for their independent acts, terms, content, or availability. Your use of them may be governed by separate agreements.
10. IssueTraq's rights
The Service, including its software, interface, design, branding, documentation, and content supplied by IssueTraq, is owned by IssueTraq or its licensors and is protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no right or licence is transferred to you.
If you send feedback or suggestions, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.
11. Suspension, termination, and account deletion
You may stop using the Service at any time. When you request account deletion, a six-hour grace period begins. Logging in successfully during that period cancels deletion. After the deadline, the account is permanently disabled and identifying details are removed or anonymised as described in the Privacy Policy.
Shared records may remain under a "Deleted User" identity so that group history and references remain coherent. This means account deletion does not necessarily erase every issue, comment, message, file reference, or audit record you contributed. Remove content you are authorised to remove before requesting deletion if you do not want it to remain, subject to other users' rights and applicable law.
We may restrict, suspend, or terminate access if we reasonably believe you violated these Terms, created security or legal risk, failed to comply with a lawful request, or used the Service in a way that could harm IssueTraq or others. Where practical and lawful, we will provide notice and an opportunity to resolve the issue. Serious abuse may result in immediate action.
Sections that by their nature should survive termination—including ownership, licences required for retained content, disclaimers, liability limits, indemnity, and dispute terms—will survive.
12. Changes and availability
We may add, modify, suspend, or discontinue features and may impose reasonable technical limits. We aim to keep the Service reliable but do not guarantee uninterrupted, error-free, or permanently available operation. Maintenance, security events, third-party failures, and circumstances beyond our reasonable control may cause interruption.
You are responsible for exporting or maintaining copies of information you cannot afford to lose.
13. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available". IssueTraq disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will meet every requirement, prevent every security incident, preserve every record indefinitely, or that user-supplied information is accurate.
Nothing in these Terms excludes a warranty, right, or remedy that cannot legally be excluded, including applicable consumer rights.
14. Limitation of liability
To the fullest extent permitted by law, IssueTraq and its officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, goodwill, business opportunity, or data, arising from or related to the Service—even if advised that such loss was possible.
To the fullest extent permitted by law, our total aggregate liability arising from or related to the Service and these Terms will not exceed the greater of (a) the fees you paid to IssueTraq for the Service during the 12 months before the event giving rise to the claim, or (b) NGN 50,000.
These exclusions and limits do not apply to liability that cannot be limited under applicable law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where such limitation is prohibited.
15. Indemnity
To the extent permitted by law, if you use the Service on behalf of a business or organisation, that organisation will defend and indemnify IssueTraq against third-party claims, damages, and reasonable costs arising from its User Content, unlawful use of the Service, or material breach of these Terms. IssueTraq will provide prompt notice and reasonable cooperation, and the indemnifying organisation may control the defence so long as any settlement does not impose liability or an admission on IssueTraq without our consent.
16. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Before filing a claim, you and IssueTraq agree to attempt in good faith to resolve the dispute by written notice and discussion for at least 30 days.
If the dispute is not resolved, the courts of competent jurisdiction in Nigeria will have jurisdiction, except where applicable consumer law gives you the right to bring proceedings elsewhere. Either party may seek urgent injunctive or protective relief where necessary.
17. Changes to these Terms
We may update these Terms to reflect changes in the Service, law, security, or business practices. Revised Terms will be posted on this page with a new "Last updated" date. We may not always be able to notify every user individually, so you are responsible for reviewing these Terms periodically, particularly before continuing to use the Service after an update.
Where applicable law requires direct or advance notice of a material change, we will provide it through the Service, by email, or by another reasonable method. Unless a different date is stated or required by law, revised Terms take effect when posted. Your continued use of the Service after they take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
18. General terms
- Entire agreement: these Terms and the Privacy Policy are the complete agreement regarding ordinary use of the Service unless a separate written agreement applies.
- No waiver: failure to enforce a provision is not a waiver.
- Severability: if a provision is unenforceable, it will be modified only as much as needed, and the remainder will continue.
- Assignment: you may not assign these Terms without our written consent. We may assign them as part of a merger, reorganisation, financing, or sale of assets.
- No agency: these Terms do not create employment, partnership, joint venture, fiduciary, or agency relationships.
- Electronic communications: you consent to receive notices electronically, including by email or through the Service, where legally permitted.
